These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, forms, and services (collectively, the "Services") operated by The Good Leads LLC ("The Good Leads," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Who We Are
The Good Leads is a performance marketing and lead generation company. We operate consumer-facing websites and advertising campaigns, and we connect consumers who request information about products and services — including home improvement, insurance, and debt settlement — with third-party service providers, publishers, affiliates, and lead buyers (collectively, "Partners").
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.
3. Nature of Our Services — Important Disclaimers
- The Good Leads is not a home improvement contractor, insurance carrier, insurance agent, lender, law firm, credit counselor, or debt settlement provider.
- We do not provide financial, legal, tax, insurance, or construction advice. Information on our Services is for general informational purposes only.
- We do not endorse, guarantee, or warrant the products, services, quality, pricing, or performance of any Partner. Any transaction you enter into with a Partner is solely between you and that Partner.
- Quotes, estimates, savings claims, and eligibility indications provided through the Services are estimates only and are not offers or guarantees.
4. Consumer Consent to Be Contacted
When you submit a request through our forms, you may be asked to consent to be contacted by us and/or specifically named Partners by phone (including calls and text messages using automated technology or prerecorded messages) and email, at the contact information you provide, even if your number appears on a federal, state, or internal Do-Not-Call list. Consent is not a condition of any purchase. Message and data rates may apply. You may revoke consent at any time by following the opt-out instructions in the communication or contacting us at privacy@thegoodleads.com.
5. Business Partner Terms
If you apply to work with us as a publisher, affiliate, or lead buyer:
- Applications are subject to our review and approval, and we may reject or terminate any account at our sole discretion.
- All traffic, creatives, and campaigns must comply with applicable laws and regulations, including the TCPA, TSR, CAN-SPAM, FTC Act, state telemarketing and privacy laws, and our published compliance guidelines.
- Fraudulent, incentivized, misrepresented, or non-consented traffic is strictly prohibited and will result in forfeiture of unpaid amounts and termination.
- Specific commercial terms (pricing, volumes, payment schedules, return policies) are set out in a separate insertion order or partner agreement, which controls in the event of conflict with these Terms.
- Payments between the parties may be processed by third-party processors, including Stripe. See our Payment Terms.
6. Intellectual Property
The Services and all content, trademarks, logos, designs, text, graphics, and software are owned by or licensed to The Good Leads and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.
7. Acceptable Use
You agree not to: (a) use the Services for any unlawful purpose; (b) submit false, misleading, or third-party information without authorization; (c) interfere with or disrupt the Services; (d) scrape, harvest, or collect data from the Services; (e) reverse engineer any part of the Services; or (f) impersonate any person or entity.
8. Privacy
Your use of the Services is also governed by our Privacy Policy and, for California residents, our CCPA Notice.
9. Third-Party Links and Services
The Services may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third party.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE GOOD LEADS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless The Good Leads from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
13. Dispute Resolution; Arbitration; Class Action Waiver
Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and The Good Leads each waive the right to a trial by jury and to participate in a class action. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing hello@thegoodleads.com with the subject "Arbitration Opt-Out."
14. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles, except as preempted by federal law.
15. Changes to These Terms
We may update these Terms from time to time. The updated version will be indicated by a revised "Last updated" date and is effective upon posting. Continued use of the Services constitutes acceptance of the revised Terms.
